Terms of Service

1. Acceptance of Terms

By accessing or using Pivotal Activities ("the Service"), operated by Pivotal Business Strategies ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

Pivotal Activities is a cloud-based appointment and contact management platform for small businesses and independent professionals. Features include contact management, appointment scheduling, dashboard widgets, email notifications, and optional integration with Google Calendar and Microsoft Outlook.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To use the Service you must create an account by providing accurate information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@pivotalactivities.com if you suspect unauthorized access.

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

4. Subscription and Billing

The Service is offered on a subscription basis. By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis through our payment processor, Stripe, Inc.

  • Free trial — New accounts may have access to a free trial period. At the end of the trial your subscription will begin unless you cancel beforehand.
  • Billing cycle — Subscriptions are billed monthly or annually depending on the plan you selected at sign-up.
  • Cancellation — You may cancel at any time through Settings → Subscription. Your access continues until the end of the current billing period. We do not provide refunds for partial billing periods.
  • Price changes— We will provide at least 30 days' notice of any price increase before it takes effect.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Upload or transmit viruses, malware, or any malicious code.
  • Use the Service to send unsolicited commercial email (spam) to contacts stored in the platform.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service.
  • Resell or sublicense access to the Service to third parties without our written consent.
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Your Data

You retain full ownership of all data you enter into the Service, including contacts, appointments, notes, and custom field values ("Your Data"). You grant us a limited license to store, process, and transmit Your Data solely as necessary to provide the Service.

We do not claim any ownership rights over Your Data and will not use it for any purpose beyond operating the Service. Upon account deletion we will delete Your Data within 30 days, subject to any legal retention requirements.

You are responsible for ensuring that you have obtained any necessary consents from your contacts before storing their personal information in the Service.

7. Calendar Integrations

If you connect Google Calendar or Microsoft Outlook, you authorize the Service to create, update, and delete calendar events and send invitations to attendees on your behalf. You may revoke this access at any time in Settings or through your Google or Microsoft account settings. We store OAuth tokens to enable this feature; see our Privacy Policy for details on how tokens are secured.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Pivotal Business Strategies and are protected by intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIVOTAL BUSINESS STRATEGIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pivotal Business Strategies and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including privacy rights.

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you materially breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.
